Ownership; Restrictions on Use
(a) The MuniSpot platform, including all data, databases, software, and content made available through it ("MuniSpot Information"), is owned by or licensed to MuniSpot LLC ("MuniSpot"). All rights not expressly granted under these Terms of Use are reserved by MuniSpot and its licensors. You acknowledge that all intellectual property rights in MuniSpot Information remain the exclusive property of MuniSpot or its licensors, and you have no rights except as granted under these Terms.
(b) Except as explicitly permitted, you may not:
- Publish, copy, modify, merge, transfer, or distribute MuniSpot Information;
- Reverse-engineer, decompile, or disassemble any MuniSpot software or databases;
- Sell, lease, sublicense, or redistribute MuniSpot Information;
- Use MuniSpot Information in any artificial intelligence, machine learning, or automated analytics platform;
- Train AI models using MuniSpot Information;
- Use MuniSpot Information for third-party training, commercial time-sharing, or service bureau operations.
(c) If your subscription/license allows access to MuniSpot Information, you may make limited copies solely for internal business use. Any archived or backup copies must retain all copyright and proprietary notices and be destroyed upon termination of these Terms.
Limited Warranty; Disclaimer
(a) MuniSpot warrants that under normal use, the platform will be generally accessible and perform substantially according to its documentation, provided no unauthorized modifications have been made and external factors do not interfere. MuniSpot will provide reasonable support for defects or installation issues per its support policy. If a defect is identified, MuniSpot may, at its sole discretion, correct the defect, provide a replacement, or offer a prorated refund for the affected period.
(b) MuniSpot Information is based on data from sources believed to be reliable. However, MuniSpot does not audit third-party data and does not guarantee accuracy, completeness, or timeliness. MuniSpot does not provide investment, legal, or financial advice. The platform is provided "as is," and MuniSpot disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and error-free operation. Users assume all responsibility for verifying and appropriately using MuniSpot Information.
Limitation of Liability
(a) MuniSpot’s liability for claims related to MuniSpot Information or platform access shall not exceed the greater of (i) fees paid by the user in the past twelve (12) months or (ii) $100.
(b) MuniSpot shall not be liable for any indirect, incidental, consequential, punitive, or special damages, nor for any failure to perform due to causes beyond its reasonable control.
(c) If any portion of these limitations is held unenforceable, liability shall be limited to the proportion of fault attributable to MuniSpot relative to all contributing factors.
Governing Law
These Terms are governed by the laws of the State of New York. Any disputes shall be resolved exclusively in the state or federal courts located in New York, New York. You consent to the jurisdiction of these courts. MuniSpot may seek injunctive relief to prevent unauthorized use of MuniSpot Information.
Indemnification
You agree to indemnify and hold harmless MuniSpot, its affiliates, officers, employees, and licensors from any claims, liabilities, damages, or expenses arising from your use of the platform or any breach of these Terms.
Entire Agreement; Amendments; Waiver
These Terms constitute the entire agreement between the parties. Any modifications must be in writing and signed by authorized representatives. Failure to enforce any provision shall not constitute a waiver. If any provision is found invalid, the remainder of the Terms remains enforceable.
No Joint Venture
These Terms do not create a partnership, joint venture, or agency relationship between the parties.
By accessing or using MuniSpot, you acknowledge and agree to these Terms of Use.
